Footie Face – Terms of Use

This Terms of Use sets forth the terms and conditions for the Footie Face software (the “Software”) used to create and edit characters appearing in the game application developed and distributed by SEGA CORPORATION (the “Company”) known as SEGA Pocket Club Manager (the “Application”) which is designated for mobile and other smart devices.

1. Provided you comply with each and all of the terms and conditions contained herein, you may use the Software. As the Software is to be used along with the Application, you also must agree with each and all of the terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE.
2. In accordance with Section 1 set out above, the terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE are also applied to this Terms of Use provided for the Software. Thus, any and all matters not indicated herein shall be covered by the terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE. In case of any inconsistency or conflict being found between the terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE and this Terms of Use for the Software, the terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE shall prevail.
3. Any and all Copyrights, Intellectual Property Rights, and other rights arising from and in connection to the Software are retained by the Company.
4. When using a device and/or a service provided by the Company or any third party designated by the Company, you may use the Software for personal purposes and within the scope allowed by applicable laws and regulations, or in ways that the Company explicitly permits on the Company’s website.
5. You shall not conduct any of the following or anything that may result in the following:
   1. Use or utilize the Software for commercial purpose
   2. Provide and/or allow any third party (excluding the third parties the Company designates) with commercial intentions to use or utilize the Software
   3. Defame, insult, or offend others
   4. Infringe any Privacy Rights, Portrait Rights, and/or Publicity Rights of others
   5. Infringe any Copyrights, Intellectual Property Rights and/or other related rights of the Company and/or others
   6. Conduct or facilitate criminal acts
   7. Offend public order and/or morals
   8. Commit acts that are not listed in (a) – (g) but deemed inappropriate by the Company
   9. Violate terms and conditions of the SEGA MOBILE APPLICATION TERMS OF USE
6. In case of conflict between you and a third party due to your use of the Software, such conflict shall be solved between you and said third party, and the Company shall not be responsible for any damages and/or losses incurred by you or the third party.
7. The Company may change the terms and conditions of this Terms of Use without any prior notice to you when necessary. In this case, the revised Terms of Use will be posted on the official website of the Company (http://sakatsuku-rtw.sega.com/) or on the website designated for the Application (http://sakatsuku-rtw.sega.com/). Unless otherwise explicitly specified, the revised Terms of Use will come into effect 24 hours after it is posted on either website.
8. If you do not agree with the terms and conditions set out above, cease the use of the software immediately. In such case, regardless of the nominal indication, payment that you have already made in relation to the use of the Software shall not be refunded.
